Merchant Terms

Version 1.0. These terms take effect for you on the date you accept them. You accept once. The same acceptance covers every payment processor we support for you. A Korean translation is provided for convenience. If the two versions differ, this English version controls.

1. Who we are

OutlinePay is operated by Arandu Payments LLC, a New York limited liability company ("OutlinePay", "we", "us"). We provide the payment infrastructure your platform provider uses to offer you payment acceptance from US customers. Your platform provider remains your point of contact for pricing, support, and your commercial relationship. These terms cover only what we do with your payment account.

2. What you authorize

You authorize us to open and manage a payment account for your business with the payment processors we support (currently Stripe), to submit the business information you and your platform provider give us to the processor for onboarding and verification, to create payment sessions, payments, and refunds on your account at your platform provider's direction, and to receive your account's status and transaction data from the processor.

3. Your data

We share your business information with the processor to open and verify your account, and we share your account status and transaction data with your platform provider, which is how they show your payments in their product. We use this data to operate the service and for nothing else. See our Privacy Policy.

4. Fees

Each payment carries a processing fee that is deducted before the remainder settles to your bank account. The full fee schedule is disclosed to you by your platform provider, and includes the processor's fee, OutlinePay's fee, and your platform provider's fee. Fees are collected at payment time and are not returned on refunds or disputes.

5. Your processor account

Your payment account is held with the processor under the processor's own agreement, which you accept during onboarding (for Stripe, the Stripe Connected Account Agreement). Payouts flow from the processor directly to your bank account. We never hold your funds.

6. Your responsibilities

Provide accurate business information, sell only legitimate goods and services, and stay within the processor's rules for acceptable businesses. If your account is restricted by the processor, we relay what the processor requires. Resolving it may need documents only you can provide.

7. Changes and ending

We may issue new versions of these terms. Your platform provider is notified and changes take effect no sooner than 30 days later. Continuing to process payments after that date is acceptance. A change that expands what you authorize is presented for a fresh acceptance instead. If your relationship with your platform provider ends, these terms end with it, and your remaining balance still pays out to your bank through the processor.

8. Governing law and contact

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
