Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, application programming interfaces, dashboards, documentation, and related services (together, the "Service") provided by Arandu Payments LLC, a New York limited liability company that operates OutlinePay ("OutlinePay", "we", "us", or "our").

By accessing or using the Service, or by clicking to accept these Terms, you ("you" or the "Platform") agree to be bound by these Terms. If you enter into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.

1. The Service

OutlinePay provides a processor-agnostic payments API that enables platforms to offer their merchants US payment acceptance and merchant-of-record onboarding, together with related features such as hosted checkout, payment links, refunds, and webhook event delivery. OutlinePay is infrastructure that operates behind your brand. The payment processing itself is performed by third-party payment processors as described in Section 4. We may add, change, or remove features over time.

2. Eligibility and accounts

You must be a business, and the individuals who accept these Terms must be at least 18 years old and authorized to act for you. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your account and API credentials.

3. API credentials and security

We issue API keys that authenticate requests made on your behalf, including test-mode and live-mode keys. You are responsible for keeping your keys confidential, for restricting access to them, and for all use made with them. You must notify us promptly at security at outlinepay dot com if you suspect any unauthorized use. We may rotate, suspend, or revoke credentials where we reasonably believe it is necessary to protect the Service, you, your merchants, or third parties.

4. Payment processing and the Stripe Services Agreement

Payment processing services for you and your merchants are provided by Stripe, Inc. and its affiliates ("Stripe") and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Services Agreement"). By using the Service to accept payments, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time, and you agree to cause each of your merchants to accept the Stripe Connected Account Agreement as a condition of being onboarded through the Service.

As a condition of OutlinePay enabling payment processing through Stripe, you agree to provide OutlinePay complete and accurate information about you, your business, and your merchants, and you authorize OutlinePay to share that information, and transaction information related to your use of the payment processing services, with Stripe.

Stripe, and not OutlinePay, is responsible for the payment processing services Stripe provides, including the settlement of funds, and for the underwriting, identity verification (KYC), and risk decisions relating to connected accounts. The relationship between you or your merchants and Stripe is governed by the Stripe Services Agreement. If we add other payment processors in the future, equivalent processor terms may apply and we will make them available to you.

5. Your responsibilities and acceptable use

You are responsible for your own business, your relationships with your merchants, and your merchants' businesses. You agree that you and your merchants will:

  • comply with all applicable laws, regulations, and network or card scheme rules, including those relating to payments, anti-money-laundering, sanctions, consumer protection, and data protection;
  • not use the Service for, or on behalf of, any business or activity that is prohibited by the Stripe Services Agreement or by applicable law;
  • provide truthful information during onboarding and not misrepresent any merchant or transaction;
  • not attempt to circumvent, probe, or disrupt the security or integrity of the Service, and not reverse engineer it except to the extent that restriction is prohibited by law;
  • present accurate pricing and terms to your own merchants and end customers.

We may suspend or limit access where we reasonably believe there is a violation of these Terms, a legal or scheme requirement, or a risk to the Service or to any person.

6. Your merchants

You are responsible for the terms under which you make the Service available to your merchants, for onboarding them accurately, and for ensuring they accept any agreements required by us or by Stripe. Your merchants are your customers. Nothing in these Terms creates any relationship between OutlinePay and your merchants except as expressly stated here or in the Stripe Services Agreement.

7. Fees

Fees for the Service are as set out in a separate order form, pricing schedule, or written agreement between you and OutlinePay. Underlying payment processor costs are passed through, and you are responsible for the fees you charge your own merchants. Except as required by law or expressly stated, fees are non-refundable. We may change fees on prior notice as described in your agreement with us.

8. Intellectual property and license

OutlinePay and its licensors own all right, title, and interest in the Service, including all software, APIs, documentation, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service to build and operate your integration during the term. You retain ownership of your own content and data. You grant us the rights necessary to operate the Service and process data on your behalf as described in the Privacy Policy.

9. Confidentiality

Each party may receive information from the other that is confidential. The receiving party will use such information only to exercise its rights and perform its obligations under these Terms, and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party without restriction.

10. Data protection

Our handling of personal information is described in our Privacy Policy. Where OutlinePay processes personal data on your behalf, the parties will comply with applicable data protection laws, and a data processing addendum is available on request at privacy at outlinepay dot com.

11. Third-party services

The Service integrates with third-party services, including Stripe. Your use of those services is subject to their own terms, and we are not responsible for third-party services except as expressly stated in these Terms.

12. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. OutlinePay does not provide legal, tax, or compliance advice.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service, regardless of the theory of liability and even if the party was advised of the possibility of the damages.

To the maximum extent permitted by law, each party's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees paid to or retained by OutlinePay under these Terms that are attributable to you during the 12 months before the event giving rise to the claim. Your obligations to pay fees, and your indemnification obligations under Section 14, are not subject to this limit.

14. Indemnification

You will defend, indemnify, and hold harmless OutlinePay and its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your merchants, your content, or your breach of these Terms or of applicable law.

15. Term, suspension, and termination

These Terms apply for as long as you use the Service. Either party may terminate as set out in your agreement with us or, absent a separate agreement, on reasonable prior notice. We may suspend or terminate access immediately where required by law or a payment processor, or to protect the Service or any person. On termination, your license ends and you must stop using the Service. Sections that by their nature should survive will survive.

If you have accepted the OutlinePay Partner Agreement, that agreement governs the commercial relationship between us, including termination, fee settlement, and your merchants' transition, and it prevails over these Terms wherever the two conflict.

16. Changes to the Service or these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a new "Last updated" date or by contacting you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of New York, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. General

These Terms, together with any order form or agreement referencing them and the policies linked here, are the entire agreement between you and OutlinePay regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the contact details on your account; notices to us must be sent to the address below.
